The Client may voluntarily provide feedback, comments, and suggestions. The Company may use such feedback without charge when developing Playerly and has no obligation to implement any suggestion or pay compensation.
Providing feedback does not transfer to the Company any rights to Client Data or the Client’s Confidential Information.
10. Confidentiality

Confidential Information includes:
- commercial terms;
- technical documentation;

The Company will use reasonable efforts to maintain the operation of Playerly.
13. Commercial Terms
The price, payment arrangements, Service term, scope of support, and other commercial terms are set out in a separate agreement, addendum, order, or other written agreement between the parties.
If a separate written agreement conflicts with these Terms, the separate agreement will prevail to the extent of the relevant conflict.
Acceptance of these Terms does not, by itself, require the Company to provide the Service free of charge.
14. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, the Company does not warrant that:
- the Service will operate continuously or without errors;
- all identified errors will be corrected;
- reports and analytics will be completely accurate or complete;
- the Service will meet all of the Client’s expectations and requirements;
- the Service will be compatible with all of the Client’s systems;

The quality of reports and analytics depends, among other things, on the completeness, accuracy, and timely provision of Client Data.
The Client independently makes decisions based on the reports provided and remains responsible for the consequences of such decisions.

The Company must promptly notify the Client of such a claim and provide reasonable assistance in handling it.
The Client must not admit liability on behalf of the Company or enter into a settlement on the Company’s behalf without the Company’s prior written approval.

- interruptions, errors, or unavailability of the Service caused by circumstances beyond the Company’s reasonable control.
Unless otherwise separately agreed by the parties, the Company’s aggregate liability for all claims relating to the use of the Service will not exceed the amount actually paid by the Client for the use of Playerly during the twelve months preceding the event giving rise to the claim.
Nothing in this Section limits any liability that cannot be limited or excluded under applicable law.
17. Suspension and Termination of Access
The Company may suspend or terminate access to the Service if:

Where reasonably possible, the Company will notify the Client of the reason for the restriction and provide a reasonable period to remedy the breach where the nature of the breach allows it to be remedied.
The Client may discontinue use of the Service subject to its existing commercial obligations.
Following termination of access, the Company may delete or anonymize Client Data in accordance with the applicable data retention policy.
The Company may retain information necessary for:
- compliance with applicable law;
- dispute resolution;
- accounting and internal record-keeping;

The provisions relating to intellectual property, confidentiality, liability, dispute resolution, and any other provisions that by their nature are intended to survive will remain in effect following termination of access.
18. Changes to These Terms
The Company may amend these Terms from time to time.
The current version will be published on the Playerly website together with the date of the latest update.
The Company will notify the Client of material changes by reasonable means before such changes take effect.
Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
If the Client does not agree to the changes, it must stop using the Service before the effective date of the changes, subject to its existing commercial obligations.
Where applicable law requires separate consent, the Company will obtain such consent before applying the relevant changes.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Estonia.
Before bringing court proceedings, a party must send the other party written notice describing the dispute. The parties will use reasonable efforts to resolve the dispute through negotiations within thirty calendar days after receipt of the notice.
If the dispute cannot be resolved, it will be submitted to a competent court of the Republic of Estonia.
Where permitted by applicable law, the dispute will be heard by Harju County Court in Tallinn.
20. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
A party’s failure to exercise any right does not constitute a waiver of that right.
The Client may not assign its rights or obligations under these Terms without the Company’s prior written approval.
The Company may assign its rights and obligations:
- to an affiliated legal entity;
- as part of a reorganization;
- in connection with the sale of its business;

Electronic acceptance of these Terms has legal effect to the extent permitted by applicable law. The Company records the fact, date, and time of acceptance of these Terms and related technical information in accordance with the Playerly Data Privacy Policy.
These Terms may be published in several languages. In the event of any inconsistency between the language versions, the English-language version will prevail.
